Terms & Conditions 

1. Trader 

1.1 These Terms & Conditions apply to all contracts concluded between you (the “Consumer”) and us, Suit + Knit (the “Trader”), in respect of the sale of products and provision of services via our website and in-person showroom/appointment. 
1.2 The Trader is: Suit + Knit, [Suit + Knit LLC], [59-00 Decatur St Ridgewood, NY 11385], [info@suitandknit.com], [302-733-0600]. 

2. Consumer 

“Consumer” means any natural person who is acting for purposes which are outside his or her trade, business, craft or profession. 

3. Distance Contract 

A “Distance Contract” is a contract concluded between the Trader and the Consumer under an organised distance-selling scheme without the simultaneous physical presence of the parties, with the exclusive use of one or more techniques for remote communication up to and including the time at which the contract is concluded. 

4. Technique for Distance Communication 

A “Technique for Distance Communication” means any means that can be used for concluding a contract, without the physical simultaneous presence of the Trader and the Consumer. This includes our website, email, telephone, or other remote communication methods. 

5. Durable Medium 

A “Durable Medium” means any instrument which enables the Consumer or the Trader to store information addressed personally to them in a way that is accessible for future reference for a period of time appropriate for the purposes of the information and which allows the unchanged reproduction of the information stored. Examples include PDF or email. 

6. Extended Duration Contract 

An “Extended Duration Contract” is a contract under which the obligations of the Trader and the Consumer extend beyond one year or indefinitely. 

7. Digital Content 

“Digital Content” means data produced and supplied in digital form (e.g., downloadable pattern, digital look-book, virtual fitting service), not supplied on a physical medium. 

8. Outlet Products 

“Outlet Products” means products offered for sale under clearance, discount or “final sale” conditions, which may be subject to different return/refund rights (see section 11 below). 

9. The Offer, Conclusion & Contract 

9.1 Our offers (on-line or in-person) are subject to availability and non-binding, unless expressly stated. 
9.2 The contract is concluded when the Consumer accepts the offer and the Trader sends a confirmation of the order, or, in-person, when the Consumer signs the relevant order/measurement form and pays any required deposit. 
9.3 Prior to concluding a Distance Contract, the Consumer will be given access to these Terms & Conditions, in a way that allows download and storage (i.e., a Durable Medium) and can clearly be stored for future reference. 
9.4 In case of an Extended Duration Contract, the Trader shall provide the Consumer, at the latest with the first delivery, the information set out in applicable law (including duration, termination conditions, etc.). 

10. Price & Payment 

10.1 The price of the products and/or services shall be the price in effect at the time the Consumer places the order. It includes all taxes, unless otherwise stated. 
10.2 Payment is due at the times and in the manner specified in the offer or order confirmation. 
10.3 For customwear (in-person or remote) the Consumer may be required to pay a deposit. 

11. Right of Withdrawal (for Distance Contracts / online purchases) 

11.1 Subject to the exceptions below, the Consumer has the right to withdraw from the contract without giving any reason within 30 days from the day on which the Consumer or a third party designated by the Consumer (other than the carrier) acquires physical possession of the goods. (You have specified a 30-day window.) 
11.2 To exercise the right of withdrawal, the Consumer must inform the Trader of their decision to withdraw by means of an unequivocal statement (e.g., email or postal letter). The Consumer may use the model form for withdrawal (see section 12), but it is not obligatory. 
11.3 The Consumer may send back the goods before the 30-day period elapses. 
11.4 The Consumer bears the direct cost of returning the goods unless otherwise agreed. 
11.5 The Trader shall reimburse all payments received from the Consumer without undue delay and in any event no later than 14 days from the date on which the Trader is informed of the Consumer’s decision to withdraw. The Trader may withhold reimbursement until the goods are received back or the Consumer has provided proof of return. 
11.6 The Trader shall reimburse using the same means of payment as the Consumer used, unless the Consumer has expressly agreed to a different means. 
11.7 The right of withdrawal does not apply in the following cases (inter alia): 

  • custom‐made / personalised goods made to the Consumer’s specifications or clearly personalised; 

  • goods which by reason of their nature are inseparably mixed with other items after delivery; 

  • goods which are perishable or liable to expire rapidly; 

  • sealed goods which have been unsealed after delivery and which cannot be returned for reasons of hygiene or health protection; 
    … and any other exceptions under applicable local law. 
    11.8 If the Trader fails to provide the Consumer with the required information concerning the right of withdrawal or fails to provide the model withdrawal form, the withdrawal period shall be extended to 12 months after the original 30-day period. If the Trader provides the required information within 12 months, then the withdrawal period ends 30 days after the Consumer receives the information.

13. Consumer’s Obligations during the Withdrawal Period 

13.1 During the withdrawal period the Consumer shall handle the goods and packaging with care. He or she may only unpack or use the goods to the extent necessary to examine their nature, characteristics and functioning (akin to what one could do in a physical store). 
13.2 The Consumer shall not use the goods beyond this level of inspection. 
13.3 The Consumer shall be liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods. 

14. Returns, Refunds & Alterations 

14.1 For non-custom / standard garments purchased either online or in-person: 
– If you wish to return the goods, you must initiate the return within 30 days of delivery or collection. 
– The goods must be unworn, unaltered (except for the Trader’s alterations where applicable) and with original tags attached. 
– Once the goods have been received and inspected, the Trader will process your refund to the original payment method. 
14.2 For custom-made garments or made-to-measure orders: 
– Because these are made to your specifications, the right of withdrawal is limited (see section 11.7 above). Unless applicable law gives broader rights, custom garments are not eligible for full return. 
– We offer free first alteration for custom garments (in-person session) at our showroom or a booked follow-up appointment. After this first alteration session, any further changes will incur a fee to be paid by the Consumer. 
14.3 For Outlet Products: 
– Outlet Products are sold “as is” under discount/clearance terms. Unless otherwise stated, Outlet Products are final sale and not eligible for return or refund or may have a different shorter return window. 
14.4 Refunds will be processed within a reasonable time (and in any event no more than 14 days after receiving the returned goods) provided the Consumer has complied with the return requirements. 
14.5 Shipping costs for returning standard goods are borne by the Consumer unless otherwise stated. 

15. Supplementary Agreement 

Any supplementary agreement, exemption or amendment to these Terms & Conditions must be agreed in writing (this includes email) by both the Consumer and the Trader. 

16. Duration and Termination (for Extended Duration Contracts) 

16.1 If a contract is for an indefinite duration or extends beyond one year, the Consumer may terminate it at any time by giving the notice specified in the contract. The Trader may only terminate in accordance with the conditions set out in the contract. 
16.2 Unless otherwise stated, the contract automatically terminates when the delivery of the goods or service is completed. 

17. Delivery & Performance 

17.1 The Trader will execute accepted orders diligently and as soon as possible, and in any event within the time limits stated in the offer or order confirmation. 
17.2 If the Trader cannot deliver within the agreed timeframe (or within 30 days if no timeframe is agreed), the Trader shall inform the Consumer and the Consumer shall have the right to dissolve the contract and receive a refund. 
17.3 Ownership of goods passes to the Consumer when the Consumer or a third party designated by the Consumer (other than the carrier) acquires physical possession of the goods, unless the parties have agreed otherwise. 

18. Liability & Guarantees 

18.1 The Trader is liable for the proper performance of the contract under applicable law (contractual liability, statutory warranties etc.). 
18.2 Except in cases of wilful misconduct or gross negligence, the Trader’s liability for indirect or consequential loss is excluded to the extent permitted by law. 
18.3 Any manufacturer’s warranties are separate and do not affect the statutory rights of the Consumer. 

19. Privacy Policy 

We respect your privacy and handle your personal data in accordance with applicable data-protection legislation. By placing an order you consent to the processing of your personal data as described in our Privacy Policy, including for order fulfilment, alterations/fittings, marketing (if consented) and customer-service purposes. 
We will process your personal data only on a legal basis (contract performance, legal obligation, legitimate interest or consent). We will not transfer your data to third parties except where necessary for order fulfilment (e.g., payment processor, courier, tailor/alteration partner) or required by law. 
You have rights including access, correction, deletion, data-portability, objection to processing. 
Cookies, tracking technology, email marketing preferences are handled in accordance with our Cookie and Marketing Policies.

20. Intellectual Property 

All content on the website (text, images, logos, designs) is owned by the Trader or used under licence and is protected by intellectual property rights. The Consumer may use this content only for personal, non-commercial purposes. 

21. Modifications to Terms & Conditions 

The Trader reserves the right to amend these Terms & Conditions from time to time. The version applicable is the one published on the website at the time of the Consumer’s order. 

22. Governing Law & Jurisdiction 

These Terms & Conditions and any contract concluded under them shall be governed by the laws of [State], United States. Any disputes shall be subject to the exclusive/non-exclusive (choose) jurisdiction of the courts of [County, State]. 

23. Miscellaneous 

23.1 If any provision of these Terms & Conditions is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. 
23.2 The headings are for convenience only and do not affect interpretation. 
23.3 These Terms & Conditions constitute the entire agreement between the Consumer and the Trader regarding the subject matter and supersede all prior negotiations, understandings or agreements (unless otherwise agreed in writing).
